Liquor Licensing

  • Represented seller in the sale of one of the largest nightclubs in Manhattan for approximately $1 million after it was shut down by the New York Police Department and the New York City Law Department and had its liquor license canceled.  TRANSACTION COMPLETED.
  • Successfully obtained approval for an on-premise liquor license for one of the largest nightclubs in Manhattan in the face of fierce community board opposition and despite the fact that the New York Police Department and the New York State Liquor Authority shut down the previous owner and canceled his liquor license due to a series of stabbings, slashes, and brawls. SUCCESSFUL CONCLUSION.
  • Represented client in the negotiation and purchase of a 25% interest in one of the most successful nightclubs in the Bronx.  TRANSACTION COMPLETED.
  • Represented and counseled client in successfully launching a wine wholesale importing business which would import wine from Spain before the Alcohol and Tobacco Tax and Trade Bureau and the New York State Liquor Authority.  SUCCESSFUL CONCLUSION.
  • Successfully represented and counseled client in launching a wine store and obtaining approval of his wine store license in the highly competitive Canal Street (Chinatown) area in Manhattan despite protests from neighboring wine and liquor stores.  SUCCESSFUL CONCLUSION.
  • Successfully represented and counseled client in opening a liquor store in the Crown Heights section of Brooklyn and obtaining approval of her liquor store license despite the presence of another liquor store one block away.  SUCCESSFUL CONCLUSION.

Litigation

  • Represented 50% stockholder of a liquor store in an action requesting a judicial dissolution (court ordered sale of a business) after client was accused of embezzling money and frozen out of the corporation.  Defendant liquor store moved to dismiss the case.  The motion was fully briefed and settled shortly thereafter with the defendant buying out client’s 50% stock interest for eight times more than the original offer.  Client used the settlement funds to launch his own liquor store.  Client hired us to obtain his liquor store license as well.  We obtained approval in three months (his initial license took 10 months).  SUCCESSFUL CONCLUSION.
  • Represented client in an action brought by his sister after he purchased her 50% interest in a successful family owned restaurant to enforce the agreement.  Case settled for 20% of the original stock purchase agreement price.  SUCCESSFUL CONCLUSION.
  • Represented client restaurant before the New York Statement Department of Taxation and Finance regarding his sales tax debt.  We filed a petition with the New York State Division of Tax Appeals, arguing that the rent multiplier used in estimating the sales owed was inappropriate under the circumstances and successfully reduced the debt by 60% saving client tens of thousands of dollars.  SUCCESSFUL CONCLUSION.
